• Zoila Villacorta

    FOUNDER

    Zoila is the Founder of Azurre Law, specializing in employee benefits and executive compensation. With over two decades of experience, she advises clients on corporate governance, securities, ERISA, and stock exchange regulations affecting executive compensation and benefits.

    Her practice includes drafting and structuring equity arrangements, employment agreements, change-in-control agreements, and deferred compensation plans. She provides strategic guidance on compliance with ERISA, the Internal Revenue Code, and other regulations governing employee retirement plans, including plan design, administration, termination, fiduciary duties, and compliance matters related to pension, profit-sharing, and 401(k) plans.

    Before joining Azurre Law, Zoila held positions at Irell & Manella, Proskauer Rose, and Skadden Arps, focusing on executive compensation matters. She also collaborates with corporate and real estate lawyers to structure investment funds that involve pension plan participation, applying complex plan asset regulations.

    Zoila holds an LLM in Taxation from NYU School of Law, a JD from Boston University School of Law, and a BA from UC Berkeley.

    Sabra Gandhi Sellers

    SENIOR COUNSEL

    Sellers is a general corporate and real estate lawyer. She practices in the fields of private equity, mergers and acquisitions, capital markets, corporate finance and corporate and securities law, compliance, and residential and commercial real estate transactions.

    Sellers counsels clients with respect to a wide variety of business transactions, including corporate formation, private equity fund formation, the sale, purchase and merger of companies, private and public debt and equity offerings and the negotiation of joint ventures and similar arrangements, negotiation of real estate purchase and sale contracts, leases and financings.

    She regularly drafts and provides advice regarding complex agreements, including merger and acquisition agreements, financing agreements, joint venture agreements, and shareholder agreements, among others.

    She also provides advice regarding compliance with U.S. securities laws, including the Securities Act, the Exchange Act, the Investment Company Act, the Advisers Act, and the various rules and regulations thereunder.

    Sellers began her legal career at Cleary Gottlieb Steen and Hamilton LLP in New York, where she practiced in the corporate group from 2001 to 2007. She also spent time in Cleary Gottlieb’s Tokyo and Hong Kong. In 2008, Sellers joined Proskauer Rose LLP as a member of the corporate group in the Los Angeles office.

    Ethan Mikhael

    ASSOCIATE INTERN

    Ethan is an Associate Intern at Azurre Law, where he assists in drafting, reviewing, and researching corporate transactional matters

    He is currently pursuing his J.D. at Loyola Law School and is enrolled in the Corporate concentration. He serves as the Incoming Chief Research Editor for the Loyola of Los Angeles Entertainment Law Review and is involved in the Intellectual Property and Cybersecurity Law Society. Ethan earned his B.S. in Political Science with a focus on International Relations from UCLA.

    Ethan has previous experience in business, real estate, and employment litigation as a Law Clerk at a business litigation firm, where he assisted in drafting motions and responding to unlawful detainer actions. He also worked as a Clinical Law Student at Loyola Law School’s Consumer Bankruptcy Clinic, preparing Chapter 7 petitions and attending 341(a) hearings.

    Beyond his legal work, Ethan has a passion for aviation, machining, and building computers.
